These Terms of Service ("Terms") govern your access to and use of the services provided by Dalil AI Ltd, a company registered in the Dubai International Financial Centre (DIFC) under License No. CL8158 ("Dalil AI", "we", "us", or "our"). By accessing or using our platform, you agree to be bound by these Terms.

1. Introduction & Definitions

"Services" refers to the cloud-based CRM and AI Sales OS platform provided by Dalil AI, including all features, APIs, integrations, and related tools.

"User" means any individual who accesses or uses the Services under a Workspace.

"Workspace" means the account environment created for a customer organization, within which Users operate.

"Customer Data" means all data, content, and information submitted to the Services by the customer or their Users. Customers retain full ownership of their Customer Data.

"Dalil AI Content" means all software, algorithms, models, templates, documentation, and other materials created by Dalil AI. Use of Dalil AI Content is subject to a limited license granted herein.

"Feedback" means any suggestions, ideas, or recommendations you provide regarding the Services. By submitting Feedback, you grant Dalil AI a perpetual, royalty-free right to use it without restriction.

"Related Policies" means our Privacy Policy, Acceptable Use Policy, and any other policies referenced herein.

2. Account Creation & Eligibility

To use the Services, you must:

Be at least 18 years of age
Provide accurate and complete registration information
Maintain the confidentiality of your login credentials and be responsible for all activity under your account
Comply with all applicable laws and regulations, including export control laws
Not use the Services if prohibited by applicable law in your jurisdiction

You are responsible for notifying Dalil AI immediately if you suspect unauthorized access to your account.

3. Subscription Plans & Ordering

Dalil AI offers the following subscription tiers:

Essential — entry-level access for individual sellers
Growth — for small teams with expanded features
Pro — for scaling teams requiring advanced capabilities
Lifetime — one-time purchase granting perpetual access

Ordering: Subscriptions are initiated through the platform or by contacting our sales team. By placing an order, you agree to the applicable plan terms and pricing.

Seat limits: Each plan is priced per user seat. You may not share accounts between multiple individuals.

Upgrades & Downgrades: You may upgrade at any time; the upgrade takes effect immediately and is billed on a pro-rata basis. Downgrades take effect at the next billing cycle.

Auto-renewal: Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date.

4. Fees, Billing & Taxes

All fees are denominated in USD
Billing is processed on a recurring basis through Stripe
A 5% UAE VAT applies where required
Late payments may result in suspension of access. Dalil AI will provide notice before taking such action
Invoices are available within the platform's billing settings

5. Refund Policy

Dalil AI offers a conditional cooling-off period of 14 days from the date of initial purchase. A refund may be requested during this period only if all of the following conditions are met:

Fewer than 5 contacts have been added to the Workspace
Fewer than 5 AI messages have been generated
No integrations have been connected

Refund requests outside this window, or where usage has exceeded these thresholds, will not be eligible. To request a refund, contact us at hello@usedalil.ai within the 14-day window.

6. Customer Data & Ownership

You retain full ownership of all Customer Data you submit to the Services
You grant Dalil AI a limited, non-exclusive license to process your Customer Data solely for the purpose of providing the Services
Dalil AI may use aggregated, anonymized statistics derived from usage patterns to improve the platform, provided such data cannot be used to identify you or your customers
You are solely responsible for the legality of your Customer Data and for complying with applicable data protection laws (including GDPR) with respect to personal data you upload

7. Role-Based Access & Administrative Responsibilities

Each Workspace must designate at least one administrator
Administrators are responsible for configuring user permissions, managing access levels, and controlling data visibility within the Workspace
Dalil AI is not responsible for access decisions made by administrators or for data accessed by authorized users within your Workspace

8. Integrations & Third-Party Services

The Services include integrations with third-party platforms including LinkedIn, WhatsApp, Intercom, Zapier, n8n, and Make. By using these integrations, you also agree to the terms of those third-party services.

Dalil AI does not control and is not responsible for third-party services, their availability, accuracy, or policies. Third-party integrations are provided for your convenience and are subject to change without notice.

9. Acceptable Use

You agree not to use the Services to:

Engage in any illegal activity or facilitate illegal acts
Violate any intellectual property, privacy, or other rights of third parties
Upload or distribute offensive, defamatory, or harmful content
Send spam or unsolicited communications in violation of applicable law
Attempt to breach or circumvent security measures of the platform or any third-party system
Interfere with the integrity or performance of the Services
Process sensitive regulated data (such as health, financial, or government identity data) unless expressly agreed in writing with Dalil AI

10. Data Protection & Security

Dalil AI complies with the DIFC Data Protection Law No. 5 of 2020 and GDPR where applicable
The platform is hosted on Google Cloud Platform (London, UK region)
All data is encrypted in transit using TLS 1.3 and encrypted at rest
Regular backups are retained for a period of 35 days
Dalil AI is pursuing SOC 2 Type II and ISO 27001 certifications

11. Service Availability & Support

Dalil AI makes commercially reasonable efforts to maintain 24/7 platform availability but provides no formal SLA
Support is available via email and in-app chat, Monday to Friday, 9 AM – 5 PM GST
Planned maintenance will be communicated in advance where reasonably practicable

12. Intellectual Property

All Dalil AI software, algorithms, models, branding, and documentation remain the exclusive property of Dalil AI Ltd
You receive a limited, non-exclusive, non-transferable license to use the Services for your internal business purposes during your subscription term
You may not copy, modify, distribute, sell, reverse engineer, or create derivative works based on any part of the Services

13. Confidentiality

Both parties agree to maintain the confidentiality of the other's non-public business information for a period of 3 years following termination of these Terms (indefinitely for trade secrets)
Confidential information may be disclosed only to employees or contractors with a need to know, who are bound by equivalent confidentiality obligations
Disclosure required by law or court order is permitted, provided the disclosing party gives prompt written notice where legally permissible

14. Modifications to Services

Dalil AI reserves the right to modify, add, or remove features from the Services at any time
For material changes that negatively impact your use, Dalil AI will provide at least 30 days' advance notice, during which you may terminate your subscription for a pro-rata refund
Beta features are provided "as is" without warranty and may be withdrawn at any time

15. Warranties & Disclaimers

Customers on paid plans are entitled to expect the Services to be delivered with reasonable skill and care
Except as expressly stated, the Services are provided "as is" and "as available", without warranties of any kind, express or implied
Dalil AI does not guarantee the accuracy, completeness, or fitness for purpose of AI-generated outputs, or the availability of third-party integrations

16. Limitation of Liability

Dalil AI will not be liable for indirect, incidental, consequential, or punitive damages, including lost profits, data loss, or business interruption
Dalil AI's total liability for any claim arising from these Terms is limited to the fees paid by you in the 12 months preceding the claim, with a minimum floor of $100
Nothing in these Terms excludes liability for personal injury, fraud, or any liability that cannot be excluded by law

17. Indemnification

Dalil AI will defend and indemnify you against third-party claims that the Services, as provided, infringe any intellectual property right, subject to your prompt notification and reasonable cooperation
You will indemnify Dalil AI against claims arising from your Customer Data, your violation of these Terms, or your breach of applicable law

18. Suspension & Termination

Dalil AI may immediately suspend your account for material breach, non-payment, or activities that risk harm to the platform or other users
For breaches capable of remedy, Dalil AI will provide a 30-day cure period before terminating the account
Paid subscriptions will run until the end of the current billing period unless terminated for cause
Upon termination, your right to access the Services ceases immediately

19. Data Export & Deletion

Following termination, you have a 30-day grace period to export your Customer Data
After this period, Dalil AI will permanently delete your Customer Data and is under no obligation to recover it
Legal or regulatory retention obligations may require Dalil AI to retain certain records beyond this period

20. Governing Law & Dispute Resolution

These Terms are governed by the laws of the DIFC, Dubai, UAE
Any dispute arising from or relating to these Terms shall be resolved by binding arbitration under the DIFC-LCIA Arbitration Rules, conducted by a single arbitrator in the English language
You waive any right to a jury trial or to participate in a class action proceeding

21. Changes to Terms

Dalil AI will provide at least 30 days' advance notice of material changes to these Terms
Your continued use of the Services after the notice period constitutes acceptance of the updated Terms
Non-material updates (e.g., clarifications, corrections) may take effect without prior notice

22. Miscellaneous

These Terms constitute the entire agreement between you and Dalil AI regarding the Services and supersede all prior agreements
You may not assign your rights under these Terms without Dalil AI's prior written consent. Dalil AI may assign these Terms in connection with a merger, acquisition, or sale of assets
The parties are independent contractors. Nothing herein creates an employment, partnership, or agency relationship
Neither party will be liable for delays caused by circumstances beyond their reasonable control (force majeure), provided that if such circumstances persist for more than 60 days, either party may terminate the agreement
A failure to enforce any provision of these Terms does not constitute a waiver of that provision
If any provision is found unenforceable, the remaining provisions continue in full force
